Understanding company dissolution
What does it mean to dissolve my company?
Dissolution is the formal process of closing your limited company. This removes it from the Companies House register and ends its legal existence.
What are my options for closing my company?
1. Standard Dissolution

For companies with no assets or liabilities.

Timeframe: 2–3 months from submission to Companies House strike-off.
2. Dissolution After Property Sale

For companies that have sold their property and need to distribute remaining funds.

Timeframe: 3–4 months, depending on final accounting and tax clearance.
If your company has over £25,000 in retained profit, additional tax and administration may apply
Can I withdraw funds before closing my company?
Yes, but it must be done correctly. Options include:

Dividend distribution (requires documentation and tax compliance).

Owner loan repayment (if a formal loan agreement exists).
How long does the entire process take?

Application to Companies House: Once submitted, it typically takes between 2-4 months for the company to be removed from the register, assuming no objections.
How to request dissolution
How do I request a dissolution of my company?
Follow these steps:
- Log in to your GetGround dashboard.
- Go to the Portfolio page.
- Click on the Companies tab and select the company you wish to dissolve.
- In the Overview section, click Company settings.
- Choose your preferred termination option: Standard Dissolution (no assets or liabilities) or Dissolution After Property Sale (remaining funds to distribute).
- Review the details and confirm your request by clicking Submit.
I have requested a dissolution directly via Companies House
If you have already submitted the dissolution directly through Companies House, please notify us at gethelp@getground.co.uk once the company has been dissolved and we will remove it from the platform. In the meantime, ensure any remaining funds are withdrawn from the business account.
