GetGround Terms and Conditions Packages and Subscriptions

These terms and conditions (the “Terms and Conditions”) apply to GetGround Packages (as set out in ‘Section A: Terms for GetGround Packages’) and GetGround Subscriptions (as set out in ‘Section B: Terms for GetGround Subscriptions’) purchased through GetGround and are entered into between Terranova.Network Limited ("GetGround") with company number 11273793 and registered address at 1 Lyric Square, Hammersmith, London, W6 0NB and you (the "Customer", “you” or “your”).

By making a payment, you agree to be bound by the section(s) of these Terms and Conditions applicable to you, along with our Privacy Policy. All personal data will be handled in accordance with our Privacy Policy.

These Terms and Conditions are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes or claims in connection with these Terms and Conditions.

Section A: Terms for GetGround Packages

1. Package Services

1.1 This ‘Section A: Terms for GetGround Packages’ of these Terms and Conditions will apply if you have opted for either GetGround's 'Launch Lite ', 'Launch Transact' or 'Launch Pro’ package (the “Packages”) and an overview of the services for each Package is outlined on our website here. A full list of the services included in a Package can be found in the relevant Package Service T&Cs (the "Package Services").

1.2 Any services not expressly included in the Package Service T&Cs do not form part of a Package.

1.3 The Package Services are provided in respect of a single property and are subject to eligibility. The Customer agrees to use the Package Services at all times:

(a) in a reasonable and responsible manner;

(b) subject to fair and reasonable usage; and

(c) in accordance with these Terms and Conditions, the Package Service T&Cs and all applicable laws and regulations.

2. Landlord Insurance (Launch Transact Package or Launch Pro Package only)

2.1 Should you require an insurance product as part of a Launch Transact Package or Launch Pro Package, GetGround will introduce you to Superscript (trading name of Enro Ltd) who are authorised and regulated by the Financial Conduct Authority (FRN: 656459). Subject to the below requirements, insurance premiums paid directly to Superscript by the Customer will be covered as part of your Launch Transact Package or Launch Pro Package.

2.2 The Customer can insure a single property for 12 months under the Launch Transact Package or Launch Pro Package up to a total annual policy cost of £400.

2.3 The following cover types are included, subject to applicable fair usage limits:

(a) Buildings (inc. fixtures and fittings)

(b) Landlord contents cover

(c) Accidental damage cover

(d) Property owners liability

(e) Rental income protection

(f) Employers liability

(g) Terrorism

2.4 The following is a non-exhaustive list of covers that are not included in the Launch Transact Package or Launch Pro Package, but can be purchased directly with Superscript:

(a) Legal protection

(b) Rent guarantee

(c) Home emergency

3. Package Fees and Payment Terms

 

3.1 The Customer agrees to pay the fee for the Package, as selected on the payment page in respect of that Package (the "Package Fee"), in accordance with ‘Section A: Terms for GetGround Packages’ of these Terms and Conditions.

3.2 All Packages require a non-refundable upfront payment which will be listed on the payment page in respect of that Package (the “Upfront Fee”).

3.3 All Package Fees and Upfront Fees are payable in GBP (£) and are inclusive of VAT, unless otherwise stated.

3.4 In respect of the Package Fee for the Launch Transact Package or Launch Pro Package:

(a) the Upfront Fee is due and payable on the date these Terms and Conditions are entered into by the Customer;

(b) the remaining balance is due and payable on the date of legal exchange of contracts in respect of the property subject to ‘Section A: Terms for GetGround Packages’ of these Terms and Conditions; and

(c) if applicable, the Customer authorises GetGround to charge their credit or debit card the remaining balance on the due date as outlined in (b) above.

3.5 Certain properties sourced using the Launch Pro Package may incur an additional transaction fee (the ”Transaction Fee”) which will be charged by the relevant third party supplier and notified by GetGround to the Customer at the time the property is first presented to the Customer. 

3.6 The Customer agrees to pay any Transaction Fee to the relevant third party supplier in accordance with the payment terms agreed between them.

3.7 All payments shall be made by the Customer by credit card, debit card or another payment method approved by GetGround at the time of purchase.

3.8 Unless otherwise agreed in writing by GetGround, all payments are non-refundable, including in the event of early termination or non-use of the Package.

4. Termination

 

4.1 The Customer or GetGround may terminate these Terms and Conditions at any time by providing at least thirty (30) days' written notice.

4.2 GetGround may suspend or terminate these Terms and Conditions and/or the Customer’s access to the Package Services immediately by written notice if:

(a) the Customer fails to pay the Package Fee or the Upfront Fee when due and such failure is not remedied within five (5) days’ written notice from GetGround;

(b) the Customer commits a material breach of these Terms and Conditions (other than non-payment) which is not capable of remedy, or (if capable of remedy) is not remedied within fourteen (14) days’ written notice from GetGround;

(c) the Customer uses the Package Services in a manner that is unlawful, fraudulent, abusive or materially interferes with the operation of the Package Services or the use of the Package Services by others;

(d) the Customer becomes insolvent, enters into liquidation, has a receiver appointed over their assets, enters into any arrangement with their creditors or any similar event occurs; or

(e) GetGround is required to do so by law or by a regulatory authority.

4.3 Termination does not affect the Customer’s obligation to pay any Package Fees and/or Transaction Fees that have already become due and payable or become due and payable after termination where GetGround has commenced the Package Services, including (i) the balance of the Package Fees payable in accordance with clause 3.4(b) above, or (ii) Transaction Fees payable in accordance with clause 3.6.

4.4 Termination shall not affect any rights, remedies, obligations, or liabilities of either the Customer or GetGround that have accrued up to the date of termination.

4.5 Any provision of ‘Section A: Terms for GetGround Packages’ of these Terms and Conditions which expressly or by implication is intended to come into or continue in force on or after termination (including, without limitation, provisions relating to payment of the Package Fees and/or Transaction Fees, other payment obligations and governing law) shall remain in full force and effect notwithstanding termination.

5. Variation

 

5.1 GetGround may amend these Terms and Conditions at any time by placing a new version on our website. Where a change is material, GetGround will provide you with advance notice of the change. For any other updates, GetGround will provide notice where possible and reasonable, but notice in these circumstances is not a condition of such changes taking effect.

5.2 You will be deemed to have accepted any updates or amendments to these Terms and Conditions if you continue to use the Package Services after the updated Terms and Conditions have been placed on our website.

6. Package Service T&Cs

 

6.1 The Package Services are provided by GetGround, one of GetGround's affiliates or one of GetGround's partners or subcontractors and are subject to separate terms and conditions (the "Package Service T&Cs").

6.2 ‘Section A: Terms for GetGround Packages’ of these Terms and Conditions are subject to and should be read together with the Package Service T&Cs.

6.3 The Customer and/or a Customer's limited company will be asked to sign or agree to each of the Package Service T&Cs at the point the applicable Package Services are first accessed or used and GetGround encourages the Customer to read the relevant Package Service T&Cs in full before proceeding with any of the Package Services.

6.4 If the Customer or GetGround terminates these Terms and Conditions this will automatically terminate all Package Service T&Cs, unless GetGround and the Customer agree otherwise in writing.

Section B: Terms for GetGround Subscriptions

1. Subscription Services

1.1 This ‘Section B: Terms for GetGround Subscriptions’ of these Terms and Conditions will apply if you have opted for either GetGround's 'Core' or 'Complete' subscription (the "Subscriptions") and an overview of the services for each Subscription is outlined on our website here. A full list of the services included in a Subscription can be found in the relevant Subscription Service T&Cs (the "Subscription Services").

1.2 Any services not expressly included in the Subscription Service T&Cs do not form part of a Subscription.

1.3 The Subscription Services are subject to eligibility and the Customer agrees to use the Subscription Services at all times:

(a) in a reasonable and responsible manner;

(b) subject to fair and reasonable usage; and

(c) in accordance with these Terms and Conditions, the Subscription Service T&Cs and all applicable laws and regulations.

2. Landlord Insurance (Complete Subscription only)

 

2.1 Should you require an insurance product as part of your Complete Subscription, GetGround will introduce you to Superscript (trading name of Enro Ltd) who are authorised and regulated by the Financial Conduct Authority (FRN: 656459). Subject to the below requirements, insurance premiums paid directly to Superscript by the Customer will be covered as part of your Complete Subscription.

2.2 The Customer can insure the number of properties covered by the Complete Subscription, up to a total annual policy cost of £400 per property.

2.3 The following cover types are included, subject to any fair usage limits:

(a) Buildings (inc. fixtures and fittings)

(b) Landlord contents cover

(c) Accidental damage cover

(d) Property owners liability

(e) Rental income protection

(f) Employers liability

(g) Terrorism

2.4 The following is a non-exhaustive list of covers that are not included in the Complete Subscription, but can be purchased directly with Superscript:

(a) Legal protection

(b) Rent guarantee

(c) Home emergency

2.5 GetGround will cover any insurance renewals provided the Customer continues to pay for the Complete Subscription during the renewal term.

2.6 If the Customer terminates the Complete Subscription during any insurance policy period, they will be required to pay a termination fee equal to the pro rata share of the insurance premium that remains unused at the date of termination. This fee is payable immediately on termination and is intended to reimburse GetGround for insurance premiums paid in advance on the Customer’s behalf.

3. Subscription Fees and Payment Terms

 

3.1 The Customer agrees to pay the monthly subscription fee for their chosen Subscription, as selected on our pricing or payment page at the time the Customer subscribes, upgrades or renews (the "Subscription Fee"), in accordance with ‘Section B: Terms for GetGround Subscriptions’ of these Terms and Conditions.

3.2 Subscription Fees will be billed in arrears on a monthly recurring basis, starting on the date these Terms and Conditions are entered into by the Customer and the Customer authorises GetGround to charge their selected payment method each month until their subscription is terminated in accordance with these Terms and Conditions.

3.3 All Subscription Fees are payable in GBP (£) and are inclusive of VAT, unless otherwise stated.

3.4 All payments shall be made by the Customer by credit card, debit card, direct debit or another payment method approved by GetGround at the time of purchase.

3.5 The Subscription Fees are calculated by reference to the number of properties linked to your Subscription. If you add or remove properties during your subscription term, your Subscription Fees will automatically increase or decrease in line with the pricing displayed on the payment page at that time.

3.6 Where Subscription Fees change due to a change in the number of properties in accordance with clause 3.5 above, you agree that any changes will automatically be charged to your selected payment method from the next billing cycle.  

3.7 You may upgrade from the Core Subscription to the Complete Subscription at any time. The Subscription Fees and minimum subscription term applicable to the Complete Subscription (outlined in clause 4.3 below) will take effect automatically from the date of upgrade.

3.8 You may only move from a Complete Subscription to a Core Subscription at the end of (i) the initial term of your Complete Subscription (in accordance with clause 4.3), or (ii) any renewal term (in accordance with clause 4.4). 

3.9 No refunds will be issued for any partial months or unused portions of the Subscription Services.

4. Subscription Term


Core Subscription

4.1 The Core Subscription has a minimum subscription term of six (6) months commencing from the date you subscribe or transfer to the Core Subscription, unless (i) GetGround has migrated your existing GetGround subscription to the Core Subscription, or (ii)  you are transferring from a Complete Subscription to a Core Subscription in accordance with clause 3.8.

4.2 If you terminate the Core Subscription before the end of the initial six (6) month term, you will remain liable to pay the balance of the Subscription Fees due for that minimum term, which shall become payable immediately on termination.

Complete Subscription

4.3 The Complete Subscription has a minimum subscription term of twelve (12) months commencing from the date you subscribe, upgrade or transfer to the Complete Subscription.

4.4 The Complete Subscription will automatically renew for successive twelve (12) month terms unless you provide at least three (3) months’ written notice prior to the expiry of the current term.

4.5 If you terminate the Complete Subscription before the end of the initial twelve (12) month term or any subsequent renewal term(s), you remain liable to pay the balance of the Subscription Fees due for that term, which shall become payable immediately on termination.

5. Termination

 

5.1 The Customer or GetGround may terminate these Terms and Conditions at any time by providing at least thirty (30) days' written notice.

5.2 GetGround may suspend or terminate these Terms and Conditions and/or the Customer’s access to the Subscription Services immediately by written notice if:

(a) the Customer fails to pay the Subscription Fees when due and such failure is not remedied within five (5) days’ written notice from GetGround;

(b) the Customer commits a material breach of these Terms and Conditions (other than non-payment) which is not capable of remedy, or (if capable of remedy) is not remedied within fourteen (14) days’ written notice from GetGround;

5.4 If the Customer terminates in accordance with clause 5.1 or GetGround terminates in accordance with clause 5.2, the Customer will be liable to pay (i) the balance of any Subscription Fees in accordance with clauses 4.2 or 4.5 (as applicable), and (ii) any termination fees in accordance with clause 2.6 (if applicable). 

5.5 Termination shall not affect any rights, remedies, obligations, or liabilities of either the Customer or GetGround that have accrued up to the date of termination.

5.6 Any provision of ‘Section B: Terms for GetGround Subscriptions’ of these Terms and Conditions which expressly or by implication is intended to come into or continue in force on or after termination (including, without limitation, provisions relating to payment of the Subscription Fees, other payment obligations and governing law) shall remain in full force and effect notwithstanding termination.

6. Variation

 

6.1 GetGround may amend these Terms and Conditions at any time by placing a new version on our website. Where a change is material, GetGround will provide you with advance notice of the change. For any other updates, GetGround will provide notice where possible and reasonable, but notice in these circumstances is not a condition of such changes taking effect. 

6.2 You will be deemed to have accepted any updates or amendments to these Terms and Conditions if you continue to use the Subscription Services after the updated Terms and Conditions have been placed on our website.

6.3 Notwithstanding clauses 6.1 and 6.2 above, GetGround will provide at least 14 days’ written notice of any change in the Subscription Fees. In the event that you do not agree with any increase in the Subscription Fees you may terminate these Terms and Conditions with immediate effect, provided written notice of termination is received within 14 days of GetGround’s above notice. In such circumstances, the Customer will not be required to pay the Subscription Fees for the minimum subscription term in accordance with clauses 4.2 or 4.5 (as applicable) above, but may be required to pay any reasonable costs incurred by GetGround in connection with such termination (including the termination fee outlined in clause 2.6 above).

7. Subscription Service T&Cs

 

7.1 The Subscription Services are provided by GetGround, one of GetGround's affiliates or one of GetGround's partners or subcontractors and are subject to separate terms and conditions (the "Subscription Service T&Cs").

7.2 ‘Section B: Terms for GetGround Subscriptions’ of these Terms and Conditions are subject to and should be read together with the Subscription Service T&Cs.
