How do I sign (execute) a TR2 as a company?

If your company is buying or selling a property, you'll need to sign a document called a TR2 (Transfer of Whole of Registered Title). Because your company owns the property, the TR2 has to be signed as a "deed" rather than just a regular signature and there are specific rules under the Companies Act 2006 about how a company can do this correctly.

Here's what you need to know.
How can your company sign the TR2?

You have a few options — you only need to use one of these:

  • Two directors sign it, or
  • One director and the company secretary sign it, or
  • One director signs it, with a witness present who also signs to confirm they watched the director sign, or
  • The company seal is used (only if your company's articles allow this)

Any of these methods will make the signature valid as a deed.

What happens after it's signed?

Signing isn't quite the last step — the deed also needs to be "delivered" to take effect. In practice, for a property transfer, this simply happens on completion day, so it's not something you need to manage separately.
