What is a confirmation statement?

A confirmation statement is a legal filing submitted to Companies House that confirms your company’s registered details — such as its registered address, directors, and shareholders — are accurate and up to date.

When is my confirmation statement due?

Your confirmation statement is due every 12 months, and you have 14 days after the end of your review period to complete the filing. The review period runs from either:

  • The date your company was incorporated, or

  • The date of your last confirmation statement.

Missing this deadline can result in Companies House issuing a formal warning and, in serious cases, your company being struck off the register. If your company is struck off, directors may apply to have it restored — either through an administrative process or via the courts, depending on the circumstances — but this involves additional cost and legal effort.
