AI Property Analyser Terms and Conditions

1. Background 

1.1 These terms set out the terms and conditions (the “Terms”) on which, Terranova.Network Limited, a company incorporated in England and Wales with company number 11273793 ("us”, “we”, “our” or “GetGround"), will allow you to use GetGround’s AI Property Analyser which can be found here (the "AI Property Analyser"). 

1.2 In these Terms, "you" means an individual who accesses and uses the AI Property Analyser and "your" shall be interpreted accordingly.

1.3 The role of GetGround is to provide access to the AI Property Analyser and the AI Property Analyser is designed to provide information and assistance in respect of residential investment property in the UK. 

2. Accepting these Terms
 

2.1 These Terms form the basis of the agreement between you and us in respect of your use of the AI Property Analyser.

2.2 These Terms contain legally binding terms and conditions and so it is in your interests to read these Terms carefully before using the AI Property Analyser. Please contact us as soon as possible if there is anything in these Terms that you do not understand.

2.3 These Terms are effective on the date you first access or use the AI Property Analyser (the “Effective Date”) and you will be bound by these Terms from the Effective Date and each time you access and use the AI Property Analyser thereafter.

2.4 A copy of these Terms will be available to you in the ‘Help Center’ on our website which can be found here.

2.5 In these Terms, capitalised words, expressions and rules of interpretation have the meanings ascribed to them in Clause 17 (Definitions and interpretation).

2.6 Your use of the AI Property Analyser is subject to GetGround’s acceptable use policy (“AUP”) which can be found here. You agree to comply with the AUP at all times when using the AI Property Analyser. In the event of any conflict between these Terms and the AUP, these Terms shall prevail.

3. Using the AI Property Analyser 

3.1 By using the AI Property Analyser or otherwise indicating your consent, you agree to be bound by these Terms. If you do not agree with any of these Terms, you should stop using the AI Property Analyser immediately.

3.2 The AI Property Analyser is a digital service that uses artificial intelligence, including LLM Technology, to generate outputs based on the information and data you provide, including any documents you upload. These outputs are automatically generated and have not been independently verified by GetGround and the information displayed using the AI Property Analyser is intended for general use and informational purposes only.

3.3 The AI Property Analyser also enables you to upload documents (including bank statements, property rental statements and other property related documents) for automated analysis and data gathering by the AI Property Analyser. The AI Property Analyser may use LLM Technology to process and analyse the information you provide and any documents you upload. Any outputs, reports or analysis generated using LLM Technology are provided through and by the AI Property Analyser and are subject to these Terms.

3.4 The information provided by the AI Property Analyser may not be exhaustive and there may be further information available that might be more suited to your needs. If you do not see the information that you need please contact gethelp@getground.co.uk and let us know. 

3.5 If you request the provision of any products or services listed by the AI Property Analyser, separate terms and conditions will apply. You must always read the full description and terms and conditions of GetGround’s products and services before use. You should also be satisfied that any product or service provided by GetGround is suitable for you in light of your financial position and investment objectives and, where necessary, you should seek appropriate independent advice in advance of making any investment decisions. Some of the products and services listed may be supplied by GetGround, one of its affiliates or a third party. 

3.6 As a condition of your use of the AI Property Analyser, you undertake to comply fully with the Acceptable Use Policy at all times. Without prejudice to any other rights or remedies available to GetGround, in the event of a breach or suspected breach of the AUP, GetGround shall be entitled (in its sole discretion and without prior notice) to:

3.6.1 immediately restrict, suspend or terminate your access to the AI Property Analyser in whole or in part;

3.6.2 remove, disable or restrict access to any content or documents uploaded by you;

3.6.3 report the matter to relevant law enforcement or regulatory authorities; and/or

3.6.4 pursue any legal remedies available to GetGround,

and GetGround shall have no liability to you for any loss or damage arising from the exercise of such rights.

3.7 You acknowledge and agree that:

3.7.1 documents you upload to the AI Property Analyser (including any personal data, financial data or commercially sensitive or confidential information contained therein) are uploaded entirely at your own risk;

3.7.2 the AI Property Analyser, including the LLM Technology it relies upon, will process the contents of your uploaded documents automatically and without human review or oversight by GetGround;

3.7.3 GetGround does not actively monitor, review or verify the content of any documents you upload or the outputs generated from such documents;

3.7.4 you are solely responsible for ensuring that you have the right to upload any document and that the content of any document complies with these Terms, the AUP and all applicable laws and regulations;

3.7.5 the LLM Technology used by the AI Property Analyser is provided by a third party and GetGround makes no warranties as to the security, accuracy, availability or performance of such LLM Technology; and

3.7.6 while GetGround implements reasonable security measures, GetGround cannot guarantee the absolute security of any documents transmitted to or processed by the AI Property Analyser or its underlying technology.

3.8 You warrant that any document you upload to the AI Property Analyser:

3.8.1 is owned by you or you have the necessary rights, licences and consents to upload it;

3.8.2 does not infringe the rights of any third party;

3.8.3 does not contain any malicious software, viruses or harmful code;

3.8.4 complies with all applicable laws and regulations; and

3.8.5 complies in all respects with the AUP.

3.9 GetGround strongly recommends that you redact or remove any unnecessary sensitive personal data, financial account numbers, passwords or other confidential information from documents, that is not required for the analysis you are seeking, before uploading them to the AI Property Analyser.

3.10 You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the AI Property Analyser.

3.11 We reserve the right to suspend or remove your access to the AI Property Analyser for any reason, including where (in our sole opinion) it is being used in an inappropriate manner or in breach of these Terms,  the AUP or any applicable laws and regulations.

3.12 If you believe that any content which is distributed or published by the AI Property Analyser is inappropriate, defamatory or infringing any intellectual property rights, you should contact us immediately via email at gethelp@getground.co.uk

3.13 The AI Property Analyser is continuously being developed and may change or be withdrawn at any time without notice. GetGround may update, restrict, suspend or discontinue the AI Property Analyser or its functionality as necessary.

4. Data protection, Intellectual Property and confidentiality

4.1 The AI Property Analyser does not require you to input any personal data and GetGround strongly recommends that you redact or remove any personal data from documents before uploading them to the AI Property Analyser. To the extent that you do provide  personal data to GetGround via the Property Analyser such personal data will be processed in accordance with GetGround’s privacy policy which can be found here (the “Privacy Policy”). You warrant that you have read and understood the Privacy Policy and will comply at all times with all applicable data protection laws.

4.2 Where you upload documents containing personal data (whether your own or that of a third party), you warrant that you have all necessary consents, authorisations and legal bases required under applicable data protection laws to share such personal data with GetGround for the purposes of processing by the AI Property Analyser. You acknowledge that documents uploaded may be transmitted to and processed by third-party providers of LLM Technology in order to generate the AI Property Analyser’s outputs.

4.3 All information you obtain from GetGround, the AI Property Analyser and the GetGround Platform (“Data”) shall be GetGround’s proprietary information which GetGround may use for any reason. 

4.4 You may use the Data but only in connection with your use of the GetGround Platform and our website, subject to applicable laws and regulations.

4.5 Intellectual Property that is material to and used in connection with the AI Property Analyser and the GetGround Platform shall continue to be the property of GetGround (regardless of whether the rights came into existence before, on or after the date of these Terms) (“GetGround IP”) and no licence to use such GetGround IP is granted to you under these Terms. You agree you will not infringe any GetGround IP.

4.6 You agree to keep strictly confidential any information, provided to you by GetGround or the AI Property Analyser, that is designated or marked as confidential, or any information which would reasonably be regarded as being of a confidential or proprietary nature. You agree that you shall not disclose any such information save to the extent any disclosure is required by applicable laws and regulations.

4.7 This Clause 4 shall survive termination of these Terms.

5. Submitting information to the AI Property Analyser

5.1 While we try to make sure that the AI Property Analyser is secure, we do not actively monitor or check whether information supplied to us through the AI Property Analyser is confidential, commercially sensitive or valuable.

5.2 Other than any personal data which will be dealt with in accordance with the Privacy Policy, we do not guarantee that information supplied to us through the AI Property Analyser will be kept confidential and we may use it on an unrestricted and free-of-charge basis as we reasonably see fit.

5.3 You acknowledge that documents uploaded through to the AI Property Analyser will be transmitted to and processed by LLM Technology and that GetGround has no control over and accepts no liability for the processing, storage or handling of your data by such third-party providers of LLM Technology, save to the extent required by applicable data protection laws.

6. Accuracy of information

6.1 Whilst all reasonable efforts have been made to ensure responses are accurate, up-to-date, relevant and free from bias and bugs, we cannot guarantee or be responsible for the accuracy, relevance and/or the completeness of the information provided by the AI Property Analyser, including any outputs generated from documents you upload. The AI Property Analyser may, at times, provide information that is inaccurate, unreliable or inappropriate. Therefore, we encourage you to verify any information provided by the AI Property Analyser before taking any action or making any decisions based on the information received. 6.2 All information, data, reports, analysis and outputs provided by GetGround and the AI Property Analyser are for informational purposes only, and should not be relied upon or construed as legal, tax, investment, financial or other advice. Such information does not constitute (a) a solicitation, recommendation, endorsement or offer by GetGround in this or in any other jurisdiction, or (b) a comprehensive or complete statement of the matters discussed or the law and should not be relied on as such. Any prediction, forecast or projection given by the AI Property Analyser is provided solely as an example of possible growth and return and will not necessarily reflect the actual growth and return.

6.3 We cannot promise that the AI Property Analyser will be fit or suitable for any purpose. Any reliance that you may place on the information provided by GetGround and the AI Property Analyser is entirely at your own risk. You alone assume the sole responsibility of evaluating the merits and risks associated with the use of any information or other content provided by the AI Property Analyser before making any decisions based on such information or other content. For example, you should not make any investment decisions unless you understand the nature of the decision and the extent of your exposure to risk.

6.4 The AI Property Analyser may use content which has been obtained from third party sources, including third party providers of LLM Technology. GetGround is not responsible for the accuracy of such content and information provided by any third party source should not be taken as advice that is provided by GetGround.

6.5 The AI Property Analyser uses LLM Technology to generate outputs, reports and analysis. LLM Technology is inherently probabilistic and may produce outputs that are inaccurate, incomplete, misleading or inconsistent. GetGround does not verify, validate or review the outputs generated by the LLM Technology before they are presented to you. You should independently verify all information, calculations and conclusions contained in any output before relying on them.

7. Availability of the AI Property Analyser

7.1 While we try to make sure that the AI Property Analyser is available for your use, we do not promise that it will be available at all times or that your use of the AI Property Analyser will be uninterrupted.

7.2 We make no guarantee that the AI Property Analyser is appropriate or available for use in locations outside of the UK. If you choose to access the AI Property Analyser from locations outside the UK, you acknowledge that you do so at your own risk and are responsible for compliance with local laws where they apply.

7.3 We may suspend or terminate access or operation of the AI Property Analyser at any time as we see fit. 

7.4 LLM Technology depends on third-party services which may be subject to their own availability limitations, maintenance windows and outages. GetGround shall not be liable for any inability to use the AI Property Analyser or any delay in receiving outputs caused by third-party service disruptions.

8. Liability 

8.1 The AI Property Analyser is a free service which should not be relied upon for any reason including, but not limited to, investment advice. GetGround makes no warranties nor assumes any liability in respect of the quality or nature of any information that is provided by the AI Property Analyser, including any outputs generated from uploaded documents and the use of LLM Technology. The AI Property Analyser is used entirely at your own risk. You agree that GetGround will not be liable to you in any way including for any loss, financial or otherwise that you may suffer as a result of or in connection with your use of the AI Property Analyser.

8.2 Nothing in these Terms limits any liability which cannot be excluded or limited by applicable laws and regulations, including liability for (a) death or personal injury caused by negligence, or (b) fraud or fraudulent misrepresentation.

8.3 We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.

8.4 Without prejudice to Clause 8.1, GetGround shall not be liable for: (a) any loss, corruption, interception or unauthorised access to documents uploaded by you through the AI Property Analyser; (b) any inaccuracy, error or omission in any output, report or analysis generated by the AI Property Analyser (including through the use of LLM Technology); (c) any decision made or action taken by you in reliance on any output generated by the AI Property Analyser; or (d) any act or omission of any third party provider of LLM Technology.

8.5 You acknowledge that the outputs generated by the AI Property Analyser (including via LLM technology) are automated and may contain errors, hallucinations, biases or inaccuracies. GetGround expressly disclaims all warranties (whether express, implied, statutory or otherwise) in relation to such outputs, including any warranty of accuracy, completeness, fitness for a particular purpose or merchantability.

9. Indemnity 

9.1 You shall indemnify GetGround against all liabilities, costs, expenses, damages and losses (including, but not limited to, any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by GetGround arising out of or in connection with:

(a) your breach or non-performance of these Terms or the AUP;
(b) the enforcement of these Terms;
(c) any claim made against GetGround by a third party arising out of or in connection with these Terms, to the extent that such a claim arises out of the breach or failure or delay in performance of these Terms by you; or
(d) any document uploaded by you to the AI Property Analyser, including any claim by a third party that such document infringes their intellectual property rights, privacy rights or any other rights, or that the content of such document is unlawful, harmful or in breach of any applicable laws and regulations.

10. Complaints

10.1 Should you have any complaints regarding the AI Property Analyser, you may put your concerns in writing to GetGround setting out the details of your complaint, using the following email address: complaints@getground.co.uk.

10.2 GetGround will consider and investigate each complaint carefully and aim to respond fully within 15 Business Days of receipt of your written complaint in accordance with GetGround’s complaints policy which can be found here

11. Entire agreement

11.1 These Terms, together with the AUP, constitute the entire agreement between the parties and supersede all previous discussions, correspondence, negotiations or agreements relating to its subject matter.

11.2 You acknowledge that by accepting these Terms you have not relied on any express or implied representation (including any made negligently), assurance, undertaking, collateral agreement, warranty or covenant which is not set out in these Terms.

11.3 In connection with the subject matter of these Terms, GetGround and you waive all rights and remedies (including any right or remedy based on negligence) which might otherwise be available to each party in respect of any express or implied representation, assurance, undertaking, collateral agreement, warranty or covenant which is not set out in these Terms.

11.4 Except as required by statute, no terms will be implied (whether by custom, usage, course of dealing or otherwise) into these Terms.

12. No partnership or agency

Nothing in these Terms is intended to or will be used to establish any partnership or joint venture between the parties, nor authorise any party to make any commitments for or on behalf of any other party.

13. Variation

GetGround may amend these Terms and the AUP by placing a new version of these Terms on the GetGround website, and where possible will give you notice that a change has been made. You should periodically check the GetGround website for updates to these Terms. You will be deemed to have accepted any updates or amendments to these Terms if you continue to use the AI Property Analyser after such updates or amendments have been placed on the GetGround website.

14. Assignment

You shall not assign, transfer, charge or deal in any other manner with these Terms or any of the rights under it nor purport to do the same. GetGround may at any time assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any or all of its rights and obligations under these Terms.

15. Third party rights

Except as expressly provided in these Terms, no provision of these Terms is enforceable pursuant to the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it. The parties may without limit or restriction vary these Terms or any provision of it which may be enforced by a third party or otherwise amend these Terms in such a way as to extinguish or alter the third party’s entitlement under any such provision without the consent of that third party.

16. Governing law and jurisdiction

Any dispute or claim arising out of or in connection with the AI Property Analyser, these Terms or their subject matter or formation will be governed by English law and such disputes or claims will be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Definitions and interpretation

17.1 In these Terms, in addition to the defined terms above, the following definitions apply:

AI Property Analyser” has the meaning given to it in Clause 1.1 (Background);

AUP” has the meaning given to it in Clause 2.6 (Accepting these Terms);

Business Days” means a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business;

Data” has the meaning given to it in Clause 4.2 (Data protection, Intellectual Property and confidentiality);

Effective Date” has the meaning given to it in Clause 2.3 (Accepting these Terms);

GetGround IP” has the meaning given to it in Clause 4.4 (Data protection, Intellectual Property and confidentiality);

GetGround Platform” means GetGround’s online all-in-one property investment platform and website or any other platform, website, portal and/or application notified to you by us from time to time; 

Intellectual Property” means all intellectual property, including patents, trade marks, service marks, domain names, business and trading names, styles, logos and get-ups (whether registered or unregistered) in any part of the world, rights in goodwill, database rights and rights in data, rights in designs and copyrights (whether or not any of these rights are registered, and including applications and the right to apply for registration of any such rights) and all inventions, rights in know-how, trade secrets and confidential information, customer and supplier lists and other proprietary knowledge and information and all rights under licences and consents in relation to any such rights and all rights and forms of protection of a similar nature or having equivalent or similar effect to any of these which may subsist anywhere in the world for their full term, including any renewals and extensions;

LLM Technology” means a third-party artificial intelligence large language model technology used by the AI Property Analyser to process, analyse and generate outputs;

Privacy Policy” has the meaning given to it in Clause 4.1 (Data protection, Intellectual Property and confidentiality);

Terms” has the meaning given to it in Clause 1.1 (Background);

"us”, “we”, “our” or “GetGround" have the meanings given to them in Clause 1.1 (Background); and
you” or “your” have the meanings given to them in Clause 1.2 (Background).

17.2 Unless otherwise stated, references to Clauses are to clauses of these Terms.

17.3 The clause headings used in these Terms are inserted for ease of reference only and shall not affect construction.

17.4 Words in the singular include the plural and vice versa and references to one gender include all genders.

17.5 A reference to a person includes an individual, firm, partnership, company, association, organisation or trust (in each case whether or not having a separate legal personality).

17.6 A reference to a party is to a party to these Terms and includes the respective successors or permitted assigns of an original party.

17.7 Any words following the terms including, include, includes, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
